AFFILIATE PROGRAM POLICIES
Effective Date: 2/19/2026
These Affiliate Program Policies ("Affiliate Policies") govern participation in the OmniNext Tech LLC Affiliate Program (the "Program"). These Policies are incorporated into and form part of your Affiliate Agreement and Terms of Service. By participating in the Program, you agree to comply with these Policies in full.
OmniNext Tech LLC ("OmniNext Tech," "we," "us," or "our") reserves the right to modify these Policies at any time.
1. Affiliate Code of Conduct
OmniNext Tech's brand is built on trust, transparency, innovation, and regulatory compliance. Affiliates must promote OmniNext Tech, OmniCore, OmniVoiceAI, and all related services in a manner that is ethical, accurate, and compliant with applicable law.
Participation in the Program requires strict adherence to the following standards.
1.1 Accuracy and Truthfulness
Affiliates must:
- Provide truthful, accurate, and non-misleading representations of OmniNext Tech products and services.
- Avoid exaggerated income claims, performance guarantees, or unsupported business outcome representations.
- Clearly distinguish personal opinion from factual statements.
Affiliates may not:
- Represent that OmniNext Tech guarantees financial success.
- Claim that AI systems are error-free or autonomous decision-makers.
- Misrepresent regulatory compliance features (e.g., HIPAA, TCPA, GDPR).
1.2 Value-Based Promotion
Affiliates must:
- Create original promotional content.
- Provide meaningful educational or informational value.
- Avoid duplicating or scraping OmniNext Tech marketing materials without authorization.
OmniNext Tech retains sole ownership of all platform intellectual property.
1.3 Prohibition on Spam and Unlawful Marketing
Affiliates must not engage in:
- Unsolicited bulk emails, SMS messages, or direct messages;
- TCPA violations;
- CAN-SPAM violations;
- Automated robocalling;
- 10DLC violations;
- Misleading ad campaigns;
- Paid ads bidding on OmniNext Tech trademark terms without permission.
All affiliate marketing communications must comply with:
- Federal Trade Commission (FTC) rules
- CAN-SPAM Act
- TCPA
- CASL (if applicable)
- State-level marketing regulations
Affiliates are solely responsible for their marketing compliance.
1.4 Intellectual Property Restrictions
Affiliates may:
- Use approved OmniNext Tech logos and brand assets as provided.
Affiliates may not:
- Modify OmniNext Tech trademarks;
- Register domain names including "OmniNext," "OmniCore," "OmniVoiceAI," or confusing variations;
- Create social handles implying official affiliation;
- Represent themselves as employees, agents, or corporate representatives.
1.5 No Self-Referrals
Affiliates may not:
- Use their own referral link to purchase subscriptions;
- Create multiple accounts to generate commissions;
- Refer controlled entities or shell businesses for the purpose of earning commissions.
Self-referral activity constitutes fraud and may result in immediate termination and forfeiture of unpaid commissions.
1.6 Fair Play and Fraud Prevention
Affiliates are prohibited from:
- Cookie stuffing;
- Pop-under advertising;
- Hidden tracking techniques;
- Malware-based redirects;
- Artificial click generation;
- Misleading attribution tactics.
OmniNext Tech reserves the right to audit referral sources and reverse commissions obtained through improper means.
2. FTC Disclosure Requirements
Transparency is mandatory.
Affiliates must clearly and conspicuously disclose any "material connection" with OmniNext Tech.
Disclosures must:
- Be placed near affiliate links;
- Be visible without scrolling or clicking;
- Be written in plain language;
- Not be hidden in footnotes or disclaimers.
2.1 What Constitutes a Material Connection
A "material connection" includes:
- Earning commissions;
- Receiving discounted or free access to OmniNext Tech services;
- Receiving promotional credits;
- Receiving gifts or merchandise;
- Being compensated in any form;
- Family or employment relationships.
All material connections must be disclosed.
2.2 Acceptable Disclosure Examples
Affiliates may use statements such as:
- "I may earn a commission if you sign up through my link."
- "This is an affiliate link and I receive compensation if you purchase."
- "I am an OmniNext Tech affiliate."
Disclosures must be clear, not vague (e.g., "partner link" alone is insufficient).
3. Performance Claims and Earnings Representations
Affiliates may not:
- Guarantee business income;
- Guarantee lead generation results;
- Claim specific ROI unless documented;
- Represent AI features as autonomous decision-making systems.
If earnings examples are shown, affiliates must:
- Clearly disclose that results vary;
- Avoid typical-income misrepresentation.
OmniNext Tech reserves the right to require removal of improper earnings claims.
4. AI Promotion Restrictions
Because OmniNext Tech offers AI-based systems:
Affiliates may not:
- Claim AI provides legal, medical, or financial advice;
- Market AI as a replacement for licensed professionals;
- Promote AI for automated eligibility decisions;
- Market AI features in jurisdictions where restricted.
Affiliates must accurately describe AI as an assistive tool requiring human oversight.
5. Telecom and Messaging Marketing Restrictions
Affiliates may not promote:
- Unlawful mass SMS marketing;
- Auto-dialing without consent;
- Carrier bypass tactics;
- Message blasting as a compliance-free solution.
All telecom marketing claims must align with legal compliance standards.
6. Domain and White-Label Restrictions
Affiliates may not:
- Register domain names incorporating OmniNext Tech trademarks;
- Present white-labeled products as proprietary technology if they are based on OmniNext Tech;
- Misrepresent ownership of platform infrastructure.
7. Commission Forfeiture
Commissions may be withheld or forfeited if:
- Affiliate violates these Policies;
- Fraudulent activity is detected;
- Chargebacks exceed acceptable thresholds;
- Payment information is invalid;
- Legal compliance violations occur.
OmniNext Tech reserves the right to reverse commissions resulting from refunded or fraudulent transactions.
8. Enforcement and Termination
Violation of these Policies may result in:
- Immediate removal from the Program;
- Forfeiture of unpaid commissions;
- Legal action;
- Reporting to regulatory authorities if applicable.
OmniNext Tech may suspend or terminate affiliate participation at its sole discretion.
9. Modification of Policies
OmniNext Tech may update these Policies at any time. Continued participation constitutes acceptance of the updated Policies.
10. Disclosure Requirements (How to Properly Disclose)
Affiliates must ensure that all disclosures regarding their relationship with OmniNext Tech LLC are Clear and Conspicuous, as required by the Federal Trade Commission (FTC) and other applicable laws.
10.1 Clear Disclosure
Disclosures must:
- Use simple, direct, and unambiguous language.
- Be understandable to an ordinary consumer.
- Avoid vague terminology.
Acceptable Examples:
- "I earn a commission if you purchase through my link."
- "This is a paid affiliate link."
- "I am an affiliate of OmniNext Tech."
Unacceptable Examples:
- "affiliate link"
- "commissionable link"
- "partner link"
Ambiguous phrases alone do not satisfy disclosure requirements.
10.2 Conspicuous Placement
Disclosures must:
- Be placed near the endorsement or affiliate link;
- Be clearly visible without requiring scrolling, clicking, or expanding content;
- Use readable font size and color;
- Not be hidden in hashtags, footers, or collapsible sections.
10.3 Platform-Specific Guidance
Websites & Blogs
Disclosure must appear near the top of the content, before the first affiliate link.
Social Media (Instagram, Facebook, LinkedIn, X, etc.)
Disclosure must appear at the beginning of the caption, before any "see more" cut-off.
Video Platforms (YouTube, TikTok, Reels, etc.)
Disclosure must be:
- Stated verbally near the beginning of the video; and
- Displayed visually on screen in readable text.
A disclosure in the description box alone is insufficient.
10.4 Separate Disclosure Per Post
Each promotional post, video, ad, email, or content piece must contain its own disclosure. A prior disclosure does not carry forward to future content.
10.5 Affiliate Responsibility
These examples are provided for guidance only. Affiliates are solely responsible for ensuring compliance with current FTC guidelines and any other applicable laws. Regulatory requirements may change over time.
11. Marketing, Privacy, and Legal Compliance Obligations
Affiliates are independent contractors. You are solely responsible for ensuring your promotional activities comply with all applicable laws and regulations.
All marketing communications must clearly identify you as the sender — not OmniNext Tech LLC.
You are the "Designated Sender" under:
- CAN-SPAM
- TCPA
- TSR
- State telemarketing laws
- Data protection laws
OmniNext Tech LLC assumes no liability for your independent marketing activities.
11.1 Email Marketing (CAN-SPAM Compliance)
All promotional emails must:
- Use accurate header and subject information;
- Clearly identify the message as advertising;
- Include your valid physical mailing address;
- Include a functional opt-out mechanism;
- Honor opt-out requests promptly.
You are solely responsible for maintaining suppression lists and honoring unsubscribe requests.
11.2 Calls and Text Messaging (TCPA & State Laws)
Before sending any marketing SMS or placing automated calls, you must:
- Obtain prior express written consent;
- Ensure consent is one-to-one and specific to your marketing of OmniNext Tech;
- Maintain documented records of consent;
- Comply with all federal, state, and local telemarketing laws.
This includes compliance with stricter laws in states such as:
- Florida
- Oklahoma
- Texas
- Washington
- California
Failure to maintain proper consent documentation may result in immediate termination.
11.3 AI Marketing Restrictions
Because OmniNext Tech offers AI-enabled services, affiliates may not:
- Represent AI as a licensed professional;
- Claim AI replaces legal, medical, or financial advisors;
- Promote AI for automated eligibility decisions;
- Misrepresent AI compliance capabilities.
All AI representations must be accurate and not misleading.
11.4 Data Privacy and Security
Affiliates must:
- Maintain and publish their own Privacy Policy;
- Clearly disclose their independent affiliate status;
- Handle personal data in compliance with GDPR, CCPA, and other applicable laws;
- Honor data subject access and deletion requests;
- Secure personal data appropriately.
Affiliates may not:
- Represent themselves as OmniNext Tech;
- Claim data is controlled by OmniNext Tech when collected independently by the affiliate.
11.5 International Data Transfers
If you process or transfer personal data across international borders in connection with the Program, you must:
- Comply with applicable cross-border transfer laws;
- Implement appropriate safeguards;
- Avoid transferring data to jurisdictions lacking adequate protections unless legally permitted.
You agree to cooperate with OmniNext Tech in addressing regulatory inquiries related to data transfers.
11.6 Sanctions and Export Controls
You may not promote OmniNext Tech products or services to:
- Any individual or entity subject to sanctions;
- Any jurisdiction subject to U.S. trade sanctions.
You are responsible for screening compliance under:
- U.S. Treasury OFAC regulations
- Export control laws
OmniNext Tech products may not be exported, re-exported, or transferred in violation of U.S. or international trade laws.
11.7 Jurisdictional Compliance
You are solely responsible for understanding and complying with:
- Advertising laws
- Consumer protection laws
- Telemarketing regulations
- Data protection laws
- Electronic communications laws
- AI-related regulatory frameworks
This applies to all jurisdictions in which your marketing activities may reach consumers.
11.8 Complaint Notification
You must notify OmniNext Tech LLC within 24 hours of receiving:
- Any regulatory complaint;
- Any cease-and-desist notice;
- Any demand letter;
- Any legal claim relating to your promotional activities.
Complaints must be sent to:
Failure to notify may result in immediate suspension.
11.9 Monitoring and Enforcement
OmniNext Tech reserves the right to:
- Monitor affiliate marketing channels;
- Audit websites, landing pages, ads, and social media posts;
- Require modification or removal of non-compliant content;
- Suspend or terminate affiliate participation.
Monitoring may be conducted directly or through authorized third-party vendors.
11.10 Consequences of Non-Compliance
Failure to comply with these Policies may result in:
- Immediate termination;
- Commission forfeiture;
- Legal action;
- Indemnification claims;
- Reporting to regulatory authorities.
Affiliates acknowledge that violations may expose both the affiliate and OmniNext Tech to significant regulatory penalties.
